To use PopNChat Live, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our Services under applicable laws
• Comply with all local, state, national, and international laws and regulations

When you create an account with PopNChat Live:

• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not transfer or share your account with others
• You may not create multiple accounts or impersonate others

4.1 Prohibited Activities

You agree not to:

• Violate any laws, regulations, or third-party rights
• Post or transmit harmful, threatening, abusive, harassing, defamatory, or offensive content
• Engage in gambling, betting, or any financial risk activities on the platform
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers
• Use automated systems or software to extract data from the Services
• Attempt to gain unauthorized access to any part of the Services
• Upload viruses or other malicious code
• Engage in any form of harassment, bullying, or hate speech

4.2 User Content

You retain ownership of content you post, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content in connection with operating and providing the Services.

4.3 Content Moderation

We reserve the right to remove any content that violates these Terms or is otherwise objectionable at our sole discretion. We are not obligated to monitor or review user content but may do so.

5.1 Purchase and Use

• Virtual items, coins, and subscriptions purchased through the Services have no real-world value
• All purchases are final and non-refundable except as required by law
• We reserve the right to modify pricing at any time
• Virtual items may not be transferred, sold, or exchanged outside the platform

5.2 VIP and SVIP Programs

VIP status resets monthly based on coin purchases. SVIP status is based on lifetime cumulative spend. We reserve the right to modify or discontinue these programs at any time.

When hosting or participating in audio or video rooms:

• You must comply with all applicable laws and regulations
• Room hosts are responsible for moderating their rooms
• We reserve the right to remove or ban users from rooms for violations
• You must respect the privacy and intellectual property rights of others
• Recording or distributing content from rooms without permission is prohibited

If you participate in the agency system:

• You must comply with all agency terms and requirements
• Agency admins are responsible for their team members' conduct
• We reserve the right to remove agencies or members for violations
• Financial arrangements between agencies and hosts are separate from PopNChat Live
• Coin deductions apply if users leave agencies mid-cycle as specified

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of YOU JOIN TECHNOLOGY LIMITED or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• At our sole discretion for any other reason

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

10.1 Service "As Is"

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

10.2 Limitation of Liability

To the maximum extent permitted by law, YOU JOIN TECHNOLOGY LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Hong Kong International Arbitration Centre.
